ApLang Contributor Agreement

Project Name: ApLang
Project Owners: Patrick Unick and Eli Fischl
Effective Date: 2/12/2025

1. Introduction

Thank you for your interest in contributing to the open-source project named “ApLang” (the “Project”). The Project is currently licensed under the GNU General Public License version 3 (GPLv3). To protect the interests of all contributors and the Project Owners, and to clarify the rights granted by contributors to the Project, this Contributor Assignment Agreement (the “Agreement”) sets out the terms covering contributions made to the Project. The Agreement applies to all Project materials including (but not limited to) all Project repositories.

2. Definitions

  1. “Contribution” means any original work of authorship, including any modifications or additions to an existing work, that is intentionally submitted by you to the Project.
  2. “You” or “Contributor” means the individual or legal entity making a Contribution to the Project.
  3. “Project Owners” means Patrick Unick and Eli Fischl, who oversee and maintain the Project.

3. Assignment of Copyright

  1. Assignment: By submitting a Contribution, you irrevocably assign to the Project Owners all right, title, and interest in and to the copyright in your Contribution, as well as any associated intellectual property rights therein. This assignment includes the right to register, license, or otherwise dispose of those rights at the Project Owners’ sole discretion.
  2. Irrevocable and Worldwide: This assignment is irrevocable, worldwide, and continues even if you cease to contribute to or participate in the Project.
  3. Moral Rights: To the extent allowed by applicable law, you also waive and agree never to assert any moral rights you may have in your Contribution, even after termination of this Agreement.

4. License to Project Owners

In the event that any jurisdiction does not allow for the assignment of certain copyrights or other intellectual property rights, you agree to grant the Project Owners an irrevocable, perpetual, royalty-free, worldwide, exclusive license to use, reproduce, adapt, publish, translate, create derivative works from, distribute, and otherwise exploit your Contribution in any form or medium, with the right to sublicense.

5. Right to Re-License

  1. License Changes: You acknowledge that the Project Owners reserve the right to change the licensing terms of the Project in the future, which may include changing from an open-source license (such as GPLv3) to a proprietary or closed-source license.
  2. No Obligation to Consult: You agree that the Project Owners are not required to consult or obtain any additional permission from you or any other contributor regarding such license changes.

6. Representations and Warranties

By submitting a Contribution, you represent and warrant that:

  1. Each Contribution is an original work by you and you have the necessary rights to assign or license the Contribution to the Project Owners as stated in this Agreement.
  2. You are legally entitled to grant the rights in Section 3 and Section 4, and no other party’s rights will be infringed by your entering into this Agreement.
  3. Your Contribution does not violate any applicable law or breach any agreement to which you are a party.
  4. If your employer(s) has rights to intellectual property you create, you have received permission to make Contributions on behalf of that employer or your employer has waived such rights for Contributions to the Project.

7. Disclaimer and Limitation of Liability

  1. The Project is provided on an “AS IS” basis, without warranties or conditions of any kind, either express or implied.
  2. In no event shall the Project Owners be liable for any damages arising from or related to this Agreement, your Contributions, or your use of the Project.

8. General

  1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction].
  2. Entire Agreement: This Agreement sets out the entire agreement between the parties for your Contributions to the Project and supersedes all prior discussions, understandings, or agreements.
  3. Severability: If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or removed to the minimum extent necessary so that the Agreement otherwise remains in full force and effect.
  4. Amendments: The Project Owners may modify the terms of this Agreement upon reasonable notice. Your continued submission of Contributions after any modifications shall constitute your acceptance of the modifications.
  5. No Partnership or Agency: Nothing in this Agreement shall be construed as creating any partnership, agency, or employment relationship.

9. Acceptance

By committing to, or contributing to, this Project in any way, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms.
